Georgia OÜ Terms of Use
Effective date: 28 Sept 2026
These Terms of Use govern your access to and use of the Georgia website at georgia-app.com, the Georgia web and mobile application, and all related services (together, the Service). The Service is provided by Georgia OÜ, a private limited company registered in the Estonian Commercial Register under registry code 17281016, with its registered address at Roosi tn 17, Jõgeva linn, Jõgeva vald, Jõgeva maakond, 48305, Estonia (Georgia, we, us).
Please read these Terms carefully. They form a binding agreement between you and Georgia OÜ under Estonian law.
1. What Georgia does
Georgia is an AI role-play training service. It lets sales teams, managers, supervisors and frontline staff practise workplace conversations with AI-driven characters by voice or chat, and receive feedback and scoring on their performance. We set up the scenarios, frameworks and scoring criteria for each organisation, and managers can follow the progress of their teams.
When you use the Service, you interact with an artificial intelligence system. The characters you speak with, their voices and the feedback you receive are generated by AI. They are simulations and do not represent the views of any real person.
2. Accepting these Terms
By creating an account, clicking to accept, or using the Service, you agree to these Terms and to our Cookie Preferences. You also confirm that you have read our Privacy Policy, which explains how we process your personal data. If you do not agree, do not use the Service.
You must be at least 18 years old to use the Service.
If you accept these Terms on behalf of a company or other organisation, you confirm that you have the authority to bind it. In that case, "you" means that organisation.
Organisations may sign a separate order form, subscription agreement or data processing agreement with us (a Customer Agreement). If a Customer Agreement conflicts with these Terms, the Customer Agreement prevails for that organisation and its users.
3. Consumers and business customers
The Service is designed mainly for businesses and their staff. Some provisions of these Terms apply differently depending on who you are:
- A consumer is a natural person who uses the Service for purposes outside their trade, business or profession. If you are a consumer, you keep all rights that mandatory consumer protection law gives you, including the Estonian Law of Obligations Act and the consumer law of your EU country of residence. Nothing in these Terms limits those rights.
- A business customer is anyone using the Service for professional purposes, including employees and contractors using an account provided by their employer or client.
4. Your account
To use most features, you need an account. You agree to give accurate and current information when you register and to keep it up to date.
You are responsible for keeping your login details confidential and for all activity under your account. Tell us immediately at admin@georgia-app.com if you suspect unauthorised access.
If your account is provided by your employer or another organisation, that organisation may administer your account, assign scenarios to you, see your practice results and scores, and suspend or remove your access. Your organisation's use of your data is also governed by its own policies and its agreement with us.
5. Licence to use the Service
Subject to these Terms and any Customer Agreement, we grant you a personal, non-exclusive, non-transferable and revocable right to access and use the Service for the duration of your account or subscription.
Georgia OÜ and its licensors own all intellectual property rights in the Service, including the software, AI models and prompts, scenario libraries, scoring methods, designs, text, graphics, logos and the Georgia name. These Terms give you no ownership of any of them. All rights not expressly granted are reserved.
6. Plans, payment and renewal
Paid plans. Some features require a paid subscription. Prices, plan contents and billing periods are shown on our pricing page or in your Customer Agreement at the time of purchase.
Payment processing. Online payments are processed by our third-party payment provider. Your card or payment details are collected and stored by that provider and are never held on our servers. The payment provider's own terms and privacy policy also apply to the payment.
Automatic renewal. Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. We charge the payment method on file at each renewal.
Taxes. Prices for consumers include Estonian or other applicable EU value added tax. Prices for business customers are shown excluding VAT, which is added where required by law. Business customers in other EU member states who provide a valid VAT number may be invoiced under the reverse-charge rules.
Price changes. We may change our prices. We will notify you by email at least 30 days before a new price applies to your subscription. The new price takes effect from your next billing period. If you do not agree, you may cancel before it takes effect.
Late payment. If a payment fails, we may suspend paid features or move your account to a free plan until payment is made. For business customers, late payments carry interest at the rate set out in the Estonian Law of Obligations Act.
7. Cancellation, refunds and the consumer right of withdrawal
Cancellation. You can cancel your subscription at any time in your account settings or by writing to admin@georgia-app.com. Cancellation takes effect at the end of the current billing period, and you keep access until then.
Consumer right of withdrawal. If you are a consumer in the EU, you have the right to withdraw from a paid subscription within 14 days of concluding the contract, without giving a reason. To withdraw, send us a clear statement by email to admin@georgia-app.com before the 14-day period ends. We will refund all payments received from you within 14 days of receiving your statement, using the same payment method.
If you asked us to start providing the paid Service during the withdrawal period, you will owe an amount proportionate to what was provided up to the moment you told us you were withdrawing.
Other refunds. Outside the withdrawal period, fees already paid are non-refundable, except where these Terms, a Customer Agreement or mandatory law provide otherwise. This does not affect your statutory rights if the Service does not conform to the contract.
8. Your content
What counts as your content. Your content means what you put into the Service during practice: voice recordings of your sessions, chat messages and transcripts (together, User Content).
You keep ownership. You or your organisation keep all rights in your User Content. You can delete your User Content, or your whole account, at any time in your account settings.
Licence to us. You grant Georgia OÜ a non-exclusive, worldwide, royalty-free licence to host, store, copy, transcribe, analyse, process and display your User Content, only to the extent needed to provide, secure and support the Service for you and your organisation, and to comply with the law. This licence ends when your User Content is deleted from the Service, except for copies we must keep by law or in routine backups until they are overwritten.
No AI training. We do not use your recordings, transcripts or other User Content to train or fine-tune AI models. We may use anonymised, aggregated statistics about how the Service is used (for example, which scenario types are used most, or average session length) to improve the Service.
Your responsibilities. You are responsible for what you say and type during practice sessions. Please do not share real personal data of other people, such as actual customer names or case details, or sensitive information about yourself. We recommend using fictional details when you practise.
Confidentiality. We treat your User Content as confidential. We do not sell it and share it only as described in these Terms and our Privacy Policy.
9. AI-generated output
The Service uses artificial intelligence, including third-party AI and voice technologies, to generate characters, dialogue, synthetic voices, feedback and scores (Output).
Output is produced automatically and may be inaccurate, incomplete or inappropriate for your situation. Feedback and scores are training aids. They are not professional, legal, HR, medical or psychological advice, and they should not be the only basis for employment decisions such as hiring, promotion, discipline or dismissal.
Subject to these Terms, you may use Output for your internal training purposes. AI characters and synthetic voices must not be presented to anyone as a real person or as the voice of a real person.
10. Acceptable use
You agree to use the Service lawfully and in line with these Terms. You must not:
- give access to your account to anyone who is not an authorised user under your plan;
- copy, modify, resell, sublicense, rent or distribute the Service or any part of it;
- reverse engineer, decompile or try to extract the source code, models or prompts of the Service, except where mandatory law expressly permits this;
- use the Service to build or train a competing product;
- scrape, crawl or extract content or data from the Service by automated means without our written consent;
- upload malware or anything designed to damage, overload or interfere with the Service or its infrastructure;
- probe, scan or test the vulnerability of our systems, or bypass security or authentication measures;
- upload content that is unlawful, defamatory, discriminatory, harassing, sexually explicit, or that infringes intellectual property or privacy rights;
- record, upload or impersonate the voice or identity of another person without their consent;
- use the Service to create deceptive content, deepfakes or material intended to mislead others about a real person;
- impersonate Georgia, our staff or another user;
- use the Service in breach of applicable export control or sanctions laws.
We may investigate suspected breaches and remove content or suspend access where reasonably necessary, as described in section 13.
11. Third-party services
The Service relies on carefully selected third-party providers, including a payment provider, AI voice and language model providers, and a server hosting provider for the dedicated server on which we operate the Service ourselves. Details are in our Privacy Policy.
The Service may also link to or integrate with third-party websites and tools. We do not control them, and your use of them is governed by their own terms and policies. We are responsible for the third-party providers we use to deliver the Service to the same extent as for our own performance, as required by law, but not for third-party services you choose to connect or visit yourself.
12. Reporting illegal content
If you believe that content in the Service is illegal or infringes your rights, including copyright or other intellectual property rights, please email us at admin@georgia-app.com. Your report should include:
-
your name and email address;
-
a description of the content and where it appears in the Service;
-
why you believe the content is illegal or infringes your rights;
-
a statement that you believe in good faith that the information in your report is accurate and complete.
We will confirm receipt, review your report promptly and objectively, and tell you what we decided.
If we remove content or restrict an account, we will inform the affected user of the decision, the reasons for it, and how to contest it. The user can contest the decision within six months by writing to us, and we will review it again.
After a prior warning, we may suspend users who repeatedly provide clearly illegal content, and stop processing reports from anyone who repeatedly sends clearly unfounded ones.
Single point of contact. Under the EU Digital Services Act, authorities and users can contact us at admin@georgia-app.com, in English or Estonian.
13. Suspension and termination
You may stop using the Service and close your account at any time in your account settings.
We may suspend or restrict your access, or remove specific content, if we reasonably believe you have seriously breached these Terms, if your use threatens the security or stability of the Service, or if we are required to do so by law or by an authority. Where possible, we will tell you the reason in advance and give you a chance to fix the problem. When we remove content or restrict an account, we will explain why and tell you how to contest the decision.
We may terminate these Terms by giving you at least 30 days' notice, or immediately if you commit a material breach and fail to remedy it within a reasonable time after our notice. If we terminate a paid subscription without cause, we will refund the unused part of any prepaid fees.
After termination, we will delete or anonymise your User Content within the periods set out in our Privacy Policy. Before your account closes, you can export your data where the Service offers this feature, or ask us for a copy.
14. Availability and conformity of the Service
We work to keep the Service available, secure and in line with its description, and we may improve, change or discontinue features over time. We will give reasonable notice of changes that significantly reduce the functionality of a paid plan, and you may cancel with a pro-rata refund if such a change affects you negatively.
The Service may occasionally be unavailable for maintenance, updates or reasons outside our control. Scheduled maintenance will be announced in advance where practical.
If you are a consumer, you are entitled to a Service that conforms to the contract under the Estonian Law of Obligations Act and the EU rules on digital content and digital services. If it does not, you may ask us to bring it into conformity and, where the law allows, claim a price reduction or end the contract.
For business customers, and to the extent permitted by law, the Service is otherwise provided "as is" and "as available", without further warranties of fitness for a particular purpose or uninterrupted operation.
15. Liability
What we never limit. Nothing in these Terms excludes or limits our liability for intentional breach, gross negligence, death or personal injury, fraud, or any other liability that cannot be limited under Estonian law or the mandatory law of a consumer's country of residence.
Business customers. Subject to the paragraph above, if you are a business customer:
- we are not liable for indirect or consequential loss, loss of profit, revenue, business opportunity or goodwill, or for loss of data that you could have prevented by keeping your own backups;
- our total liability arising from or relating to the Service in any 12-month period is limited to the fees you paid us for the Service in that period, or EUR 100 if you use a free plan.
Consumers. If you are a consumer, we are liable for foreseeable damage caused by our breach of these Terms in accordance with the Estonian Law of Obligations Act. We are not liable for damage that was not foreseeable at the time the contract was concluded.
Force majeure. Neither party is liable for failure to perform caused by circumstances beyond its reasonable control, such as natural disasters, war, large-scale internet or power outages, or acts of authorities.
16. Indemnity (business customers only)
If you are a business customer, you will compensate Georgia OÜ for reasonable losses and costs, including reasonable legal fees, arising from third-party claims that your User Content or your use of the Service in breach of these Terms infringed their rights or violated the law. We will notify you promptly of any such claim and allow you to take part in its defence.
17. Personal data and security
We process personal data in accordance with the EU General Data Protection Regulation (GDPR), the Estonian Personal Data Protection Act and our Privacy Policy.
When an organisation uses Georgia for its staff, the organisation is usually the controller of its users' personal data and Georgia OÜ acts as its processor under a data processing agreement in line with Article 28 GDPR.
We maintain appropriate technical and organisational security measures. If we become aware of a personal data breach affecting your data, we will notify you or your organisation without undue delay, and the Estonian Data Protection Inspectorate where required, in line with the GDPR.
18. Changes to these Terms
We may update these Terms to reflect changes in the law, in the Service or in our business. We will notify you of material changes by email or in the Service at least 30 days before they take effect. If you do not agree, you may terminate your account before the changes apply, and we will refund any prepaid fees for the unused period. Continuing to use the Service after that date means you accept the updated Terms.
Minor changes that do not affect your rights, such as corrections or clarifications, may take effect when published.
19. Governing law and disputes
These Terms are governed by the laws of the Republic of Estonia, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods.
If you have a complaint, please contact us first at admin@georgia-app.com. We will reply within 14 days and try to resolve the matter amicably.
Business customers. Any dispute that cannot be settled amicably will be resolved by Harju County Court (Harju Maakohus) in Tallinn, Estonia, as the court of first instance.
Consumers. If you are a consumer, the choice of Estonian law does not deprive you of the protection of the mandatory provisions of the law of your country of residence. You may bring proceedings in the courts of Estonia or of your EU country of residence. You may also refer a dispute to the Consumer Disputes Committee (Tarbijavaidluste komisjon) at the Estonian Consumer Protection and Technical Regulatory Authority, www.ttja.ee, or to a competent out-of-court dispute resolution body in your country.
20. General
Entire agreement. These Terms, the documents referred to in them and any Customer Agreement are the entire agreement between you and us about the Service.
Assignment. You may not transfer your rights under these Terms without our written consent. We may transfer our rights and obligations to a successor in connection with a merger, acquisition or sale of assets, provided your rights under these Terms are not reduced. We will notify you of any such transfer.
Severability. If any provision is found invalid or unenforceable, the remaining provisions stay in force, and the invalid provision is replaced by a valid one closest to its original purpose.
No waiver. If we do not enforce a right immediately, we do not give up that right.
Language. These Terms are drafted in English. If we provide a translation, the English version prevails, except where mandatory consumer law requires otherwise.
Feedback. If you send us ideas or suggestions about the Service, we may use them freely without obligation to you.
